Reference is made to the announcements of the Corporation dated August 5, 2014, August 8, 2014 and February 5, 2016 in relation to, among other things, the offering of USD200 million principal amount of senior secured notes.

Reference is made to the notice of the special meeting of shareholders of Sunshine Oilsands Ltd. dated October 5, 2018.

The board of directors of Sunshine Oilsands Ltd. announces that a meeting of the Board will be held at on or about 8:00 p.m. on Thursday, November 8, 2018 in Calgary, Canada (on or about 11:00 a.m. Hong Kong time on Friday, November 9, 2018), for the purposes of, amongst other matters, approving the quarterly results and report of the Company and its subsidiaries for the three months and nine months ended September 30, 2018 and their publications.

The Board is pleased to announce that all conditions of the CB Placing Agreement have been fulfilled and the Completion took place on October 5, 2018 (Hong Kong time).

Reference was made to the announcement of the Corporation dated September 28, 2018 (Hong Kong time) in relation to, among others, the Corporation’s conditionally agree to issue and the Placing Agent conditionally agree to place, on a best-effort basis, the Placing CB in principal amount of up to HK$11,000,000 (equivalent to approximately CDN$1,799,600) to not less than six Placees.

Reference is made to the announcements dated June 25, 2018 and July 5, 2018 issued by the Corporation, in relation to, among other matters, the Corporation’s conditionally agree to issue and the Placing Agent conditionally agree to place, on a best effort basis, the Placing CB in principal amount of up to HK$11,000,000 (equivalent to approximately CDN$1,799,600 at current exchange rate) to not less than six Placees.

On September 28, 2018 (Hong Kong time), the Corporation and the Placing Agent entered into the CB Placing Agreement pursuant to which the Corporation has conditionally agreed to issue and the Placing Agent has conditionally agreed to place, on a best-effort basis, the Placing CB in the principal amount of up to HK$11 million to not less than six Placees who and whose ultimate beneficial owners will be third parties independent of and not connected with the Corporation and its connected persons.

The Board is pleased to announce that all conditions of the Settlement Agreement have been fulfilled and the Completion took place on September 21, 2018. An aggregate of 8,247,500 Relevant Shares were allotted and issued to the Trade Creditor at an Issue Price of HK$0.166 per Relevant Share pursuant to the terms and conditions of the Settlement Agreement.

References were made to the announcements dated August 19, 2013, September 26, 2013, September 27, 2013, October 21, 2013, July 27, 2018, August 15, 2018, August 17, 2018, August 23, 2018 and August 31, 2018 issued by Sunshine Oilsands Ltd. in relation to, among other matters, the joint operating agreement and other supporting agreements entered into between the Corporation and Renergy Petroleum (Canada) Co., Ltd. with respect to the Corporation’s Muskwa and Godin area oil sands leases and the proposed amendments to the terms of the Agreements.

The Board is pleased to announce that all conditions of the Settlement Agreement have been fulfilled and the Completion took place on September 20, 2018.

On September 17, 2018 in Hong Kong (September 17, 2018 in Calgary), the Corporation entered into Settlement Agreement with the Trade Creditor, being an Independent Third Party and a trade creditor to the Corporation, pursuant to which the Corporation will allot and issue the Relevant Shares to the Trade Creditor as full and final settlement of the Trade Payable.

Reference is made to the announcement dated July 5, 2018 issued by Sunshine Oilsands Ltd (the “Corporation”) in relation to, among others, the grant of 300,000,000 options to Mr. Kwok Ping Sun.
